Weil Advises NEOGEN Corporation in its Pending $5.3B Combination with the Food Safety Business of 3M
Weil is advising NEOGEN Corporation, a developer and marketer of comprehensive solutions dedicated to food and animal safety, in its pending $5.3 billion combination with the Food Safety business of 3M, a provider of testing products used to monitor allergens, pathogens and contaminates in food manufacturing processes, in a Reverse Morris Trust transaction that implied an enterprise value of the combined company of $9.3 billion. The transaction is expected to close by the end of the third quarter of 2022, subject to customary closing conditions and regulatory approvals.
